Why this disclosure exists
The Fundamento Premier tier surfaces specific syndication deals, Qualified Opportunity Fund vintages, and Reg D 506(c) offerings that under US securities law may only be presented to accredited investors. To comply with SEC requirements for general solicitation under Rule 506(c), we verify accredited status before granting access.
Who qualifies as accredited under SEC rules
An individual qualifies under at least one of:
- Income: US$200,000+ (single) or US$300,000+ (joint) in each of the past two years, with a reasonable expectation of the same in the current year.
- Net worth: US$1,000,000+ excluding the value of your primary residence.
- Professional license: hold a Series 7, Series 65, or Series 82 license in good standing.
- Knowledgeable employee: of a private fund regarding investments in that fund.
Entities qualify under separate criteria (US$5M+ in assets for certain entity types; all owners accredited; family offices managing US$5M+; etc.). See the SEC's Rule 501(a) for the authoritative list.
How verification works
We use VerifyInvestor.com as our third-party verifier. The flow:
- You subscribe to Fundamento Premier (founding-member pricing locked at signup).
- You complete VerifyInvestor's flow — you choose income, net-worth, or license path and upload corresponding documentation directly to VerifyInvestor (W-2s, tax returns, brokerage statements, or a letter from your CPA / attorney / advisor).
- VerifyInvestor reviews (typically 24–72 hours) and issues a verification letter to Fundamento.
- Upon receipt of the letter, accredited-only deal content unlocks in your Premier account.
Documents are stored on VerifyInvestor's systems, not Fundamento's. Fundamento receives only the binary verified-or-not result plus the verifier's letter. Verification cost is included in your Premier subscription.
Ongoing verification
Under SEC rules, verification is valid for 5 years (with annual reaffirmation that no material change has occurred). We will prompt you to reaffirm annually; you may upload a new verification letter at any time if circumstances change.
What you see, what you don't
During the period between Premier subscription and successful verification, you have full Premier access to portfolio analysis, the Crisis Playbook, and tax-strategy modules. You do not have access to specific accredited deals (syndications, Opportunity Funds, branded-residential co-investment tranches) until verification completes. The deal-evaluation engine is available throughout (it analyzes any deal data you input; it does not surface specific deals until verified).
If verification fails or expires
If you fail verification, you retain Premier access to all educational and modeling features and may resubmit at any time. If verification expires and you do not reaffirm, accredited-only deal content re-locks until reaffirmation completes.
Limitations
- Fundamento does not custody securities, broker-dealer your subscriptions, or originate the syndications/funds shown. We surface deals from sponsors we've vetted; the offering documents and subscription processes flow through the sponsor or their placement agent under separate documentation reviewed by their counsel.
- Accredited status under non-US jurisdictions follows local rules (e.g., Mexico's CNBV qualified-investor framework, EU's professional-investor classification under MiFID II). Cross-border Premier members should consult local counsel about which deals they are eligible to participate in.
- Premier-tier educational content and decision tools do not require verification; only specific accredited-only deal presentations do.
